Terms and conditions for supply of Goods for Resale

At Viva Energy, we value strong, transparent relationships with our suppliers. Our approach to contracting for Goods for Resale (GFR) is designed to ensure clarity, fairness, and alignment with our operational standards.

Our default terms

In the absence of a specific supply agreement, all Purchase Orders issued by any Viva Energy group entity are governed by our General Purchase Order Terms and Conditions. These default terms include a set of basic special conditions covering GFR (setting out fundamental obligations for quality, compliance, and delivery).

Our preferred approach

While our General Terms apply by default, Viva Energy’s preference is to enter into a separate written supply agreement with each GFR supplier. This agreement provides a more comprehensive framework and typically includes:

• Viva Energy standard goods for resale (GFR) terms and condition (GFR Terms) which includes references to our full suite of supporting documents
• Trading Terms (covering pricing, lead times, discounts, rebates, ordering processes, and service levels);
• Private Label Special Conditions (where products are supplied under Viva Energy’s own brands, including OTR private label products); and
• GFR policies and procedures, which outline requirements for quality assurance, compliance, and operational standards.

Updates

Our terms and conditions may be updated from time to time. Viva Energy will publish updates on this website and notify suppliers of changes to ensure fairness and transparency. Suppliers are responsible for reviewing updates and staying informed.
